Terms of Service

Last updated October 30, 2026 · Version 2026-10-30.2

1. Introduction and acceptance

Welcome to MozeHQ. These Terms of Service, together with every policy, notice, guideline, order form and document referenced in them (collectively, the "Terms" or the "Agreement"), form a legally binding contract between you and MozeHQ, together with its owners, operators, members, managers, officers, employees, contractors, agents, successors and assigns (collectively, "MozeHQ", "Company", "we", "us" or "our"). The Terms govern your access to and use of the websites located at mozehq.com, app.mozehq.com and any related domain, subdomain, mirror or successor site, and all software, applications, platforms, features, content, data, tools, artificial-intelligence features, communications, demonstrations, trials, beta features, application programming interfaces, documentation and services offered by or through them (collectively, the "Service").

BY ENTERING YOUR EMAIL ADDRESS AND CHECKING THE "I AGREE" BOX, BY CLICKING ANY BUTTON INDICATING ACCEPTANCE, BY CREATING AN ACCOUNT, BY SIGNING IN, BY OPENING ANY DEMONSTRATION OR GUEST VIEW, OR BY OTHERWISE ACCESSING OR USING ANY PART OF THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD AND AGREE TO BE BOUND BY THESE TERMS, INCLUDING THE BINDING ARBITRATION AGREEMENT, CLASS ACTION WAIVER AND JURY TRIAL WAIVER IN THE SECTION TITLED "DISPUTE RESOLUTION; BINDING ARBITRATION", WHICH AFFECT HOW DISPUTES ARE RESOLVED. IF YOU DO NOT AGREE TO ALL OF THESE TERMS, YOU ARE NOT PERMITTED TO ACCESS OR USE THE SERVICE AND MUST STOP IMMEDIATELY.

If you accept these Terms on behalf of a company, brokerage, lender, employer or other legal entity (an "Organization"), you represent and warrant that you have full legal authority to bind that Organization, and "you" and "your" refer to both you individually and that Organization. If you do not have that authority, you may not accept these Terms or use the Service on the Organization's behalf.

Your electronic acceptance of these Terms has the same legal force and effect as a handwritten signature. You agree not to contest the validity or enforceability of these Terms on the grounds that they were accepted electronically.

2. Definitions

In these Terms: "Account" means the credentials and profile through which a person accesses the Service. "Authorized User" means an individual permitted by you or your Organization to use the Service under your Account or workspace. "Customer Data" means data, information and materials that you or your Authorized Users enter into or upload to a private workspace of the Service, excluding Usage Data and Demo Content. "Usage Data" means technical, operational, analytical and activity information generated by or relating to use of the Service, including logs, page views, clicks, device and browser information, approximate location, timestamps, performance data and aggregated or de-identified information. "Demo Content" means the fictional data and any data entered into the public demonstration. "AI Features" means any functionality that uses machine learning, large language models or similar technologies to generate, summarize, classify, predict, recommend or analyze content. "Third-Party Services" means products, services, websites, data, integrations and content not provided by MozeHQ. "Documentation" means user guides, help content, tutorials and other materials we make available describing the Service. "Including" means "including without limitation".

3. Eligibility

You must be at least eighteen (18) years old, and the age of legal majority in your jurisdiction, to use the Service. The Service is intended solely for business and professional use by mortgage, real estate, lending and related financial-services professionals and organizations, and is not intended for personal, family or household use. By using the Service you represent and warrant that you meet these requirements, that you are not barred from using the Service under any applicable law, that you are not located in, organized under the laws of, or ordinarily resident in a country or territory subject to comprehensive U.S. sanctions, and that you are not on any U.S. government list of prohibited or restricted parties.

If you are a licensed professional, you represent that you hold, and will maintain, every license, registration and approval required for your activities, including any required Nationwide Multistate Licensing System (NMLS) registration and state licensing, and that your use of the Service complies with the rules of every regulator and organization with authority over you.

4. Changes to these Terms

We may revise, update, add to or remove portions of these Terms at any time and in our sole discretion. When we do, we will change the "Last updated" date and version at the top of this page, and we may (but are not required to) notify you by email, by a notice within the Service, or by requiring you to accept the revised Terms before continuing. Revised Terms take effect when posted unless a later date is stated. Your continued access to or use of the Service after revised Terms take effect constitutes your acceptance of them. It is your responsibility to review these Terms periodically. If you do not agree to the revised Terms, you must stop using the Service.

5. The public demonstration

The public demonstration at mozehq.com (the "Demo") uses fictional people, loans, companies, figures and records created for illustration. Any resemblance to real persons, living or dead, or to actual businesses, loans or events is coincidental. The Demo is provided solely so that you may evaluate the Service, is offered without charge, and may be changed, reset, limited, suspended or discontinued at any time without notice.

YOU MUST NOT ENTER ANY REAL PERSONAL, FINANCIAL OR CONFIDENTIAL INFORMATION INTO THE DEMO, including names, addresses, telephone numbers, email addresses, Social Security numbers, dates of birth, account numbers, credit information, income or asset information, or any other information about a real borrower, consumer, employee or business. Anything entered into the Demo may be visible to other visitors, is not protected as Customer Data, may be retained in logs and backups, and may be erased at any time, including at the Demo's regular reset. We have no obligation to keep, protect, return or delete anything you enter into the Demo, and you release us from any claim relating to it.

To access the Demo you must provide a valid email address that belongs to you and accept these Terms. You represent that the email address you provide is your own, accurate and current. We may record that address, the date, time, version of the Terms accepted, and associated Usage Data as evidence of your acceptance.

6. Accounts, credentials and security

To use parts of the Service you may need an Account. You agree to provide accurate, current and complete information, to keep it updated, and not to impersonate any person or misrepresent your identity, role or affiliation. You are solely responsible for maintaining the confidentiality of your username, password, recovery codes, authenticator devices and any other credentials, for restricting access to your devices, and for all activities that occur under your Account, whether or not you authorized them.

You agree to use strong, unique passwords and any additional security features we offer, including two-step sign-in, and to notify us immediately at [email protected] of any actual or suspected unauthorized access, loss or theft of credentials, or other security incident. We are not liable for any loss or damage arising from your failure to protect your credentials or comply with this section. Accounts are personal to the individual Authorized User and may not be shared, sold, transferred or used by more than one person.

If you are the owner or administrator of an Organization workspace, you are responsible for every Authorized User you invite or allow, for configuring roles and permissions appropriately, for promptly removing access for people who should no longer have it, and for each Authorized User's compliance with these Terms.

7. License to use the Service

Subject to your continuous compliance with these Terms and payment of any applicable fees, MozeHQ grants you a limited, personal, revocable, non-exclusive, non-transferable, non-sublicensable license during the term of your access to access and use the Service through a supported web browser solely for your internal business purposes, and, for the Demo, solely to evaluate the Service. All rights not expressly granted to you in these Terms are reserved by MozeHQ and its licensors. No implied licenses are granted, whether by estoppel, implication or otherwise.

8. Restrictions and acceptable use

You agree that you will not, and will not permit, encourage or assist any other person to, directly or indirectly: (a) copy, reproduce, duplicate, record, capture, screenshot for redistribution, download, mirror, frame, archive or republish any part of the Service, including its software, code, screens, layouts, designs, visual elements, text, graphics, icons, workflows, features, sequences, organization, "look and feel", data structures or Documentation, except as the Service's ordinary functions expressly permit for your internal use; (b) modify, translate, adapt or create derivative works based on the Service; (c) reverse engineer, decompile, disassemble, decrypt, decode or otherwise attempt to derive the source code, object code, algorithms, models, prompts, underlying structure, ideas, know-how or trade secrets of the Service; (d) use the Service, or any information, screenshot, description or knowledge obtained from it, to design, build, train, benchmark, market or improve any product or service that competes with or substitutes for the Service, or to assist anyone else in doing so; (e) sell, resell, rent, lease, lend, sublicense, distribute, assign, time-share, offer as a service bureau, or otherwise commercially exploit or make the Service available to any third party; (f) access the Service using any robot, spider, crawler, scraper, script, automated agent, headless browser, data-mining or data-extraction tool, or any other automated means, or bypass any measure we use to prevent or restrict such access; (g) probe, scan, test, attack or attempt to breach the security, authentication or vulnerability of the Service or any related system or network, or attempt to access any data, account, workspace or area you are not authorized to access; (h) interfere with, disrupt, overload or impose an unreasonable load on the Service or its infrastructure, including through denial-of-service attacks, flooding, spamming or mail-bombing; (i) remove, obscure or alter any copyright, trademark, patent or other proprietary notice, label or marking; (j) upload, transmit or store any virus, worm, Trojan horse, ransomware, spyware, malicious code or harmful component; (k) use the Service to send unsolicited communications, spam, robocalls or messages without all legally required consent; (l) use the Service in violation of any applicable law, regulation, court order or third-party right, including laws concerning privacy, data protection, information security, consumer protection, telemarketing (including the Telephone Consumer Protection Act and state equivalents), do-not-call rules, CAN-SPAM, fair lending, equal credit opportunity, fair credit reporting, real estate settlement procedures, truth in lending, unfair, deceptive or abusive acts or practices, anti-money-laundering and sanctions; (m) upload or process any information you do not have the legal right and all required consents to upload or process; (n) use the Service to discriminate against any person on a prohibited basis; (o) post or transmit content that is unlawful, defamatory, harassing, threatening, obscene, fraudulent, misleading or infringing; (p) create accounts by automated means or under false pretenses, or create multiple accounts to evade a restriction; (q) use the Service to store or transmit sensitive information in fields not designed for it; (r) use the Service to monitor its availability, performance or functionality for competitive purposes; or (s) attempt to do, or assist anyone in doing, any of the foregoing.

We may investigate and take any action we consider appropriate in response to suspected violations, including removing content, suspending or terminating access, preserving information, and reporting conduct to and cooperating with law enforcement, regulators or other authorities.

9. Intellectual property; copyright

The Service and all of its contents, features and functionality, including all software, source code, object code, algorithms, models, prompts, databases and compilations, user interfaces, screen designs, layouts, visual designs, graphics, illustrations, animations, icons, logos, photographs, videos, audio, text, written materials, workflows, processes, methods, sequences, selection and arrangement, "look and feel", Documentation, and all modifications, updates, enhancements and derivative works of any of them (collectively, the "MozeHQ Materials"), are owned by MozeHQ or its licensors and are protected by the copyright, trademark, trade dress, patent, trade secret, unfair competition and other intellectual property and proprietary rights laws of the United States and other countries and by international treaties. Copyright © 2026 MozeHQ. All rights reserved.

The MozeHQ Materials are licensed, not sold, to you. Nothing in these Terms transfers any ownership interest in the MozeHQ Materials to you. Any unauthorized copying, reproduction, distribution, public display, public performance, modification, creation of derivative works, transmission or other use of the MozeHQ Materials is strictly prohibited and may constitute copyright infringement, trademark infringement, misappropriation of trade secrets and other violations of law, and may result in civil and criminal penalties. We actively monitor for and will enforce our rights to the fullest extent permitted by law, including by seeking injunctive relief, damages, statutory damages, disgorgement of profits, and recovery of attorneys' fees and costs.

You acknowledge that the Service's designs, features, workflows, organization and the information about them that you see while using the Service are confidential and proprietary to MozeHQ and constitute valuable trade secrets, and you agree to protect them as set out in the section titled "Confidentiality".

10. Copyright complaints (DMCA notice and takedown)

MozeHQ respects the intellectual property rights of others and expects users to do the same. If you believe that material available on or through the Service infringes a copyright you own or control, you may send a written notice under the Digital Millennium Copyright Act, 17 U.S.C. § 512 ("DMCA"), to our designated agent at [email protected] with the subject line "DMCA Notice". Your notice must include: (1) a physical or electronic signature of a person authorized to act on behalf of the copyright owner; (2) identification of the copyrighted work claimed to be infringed; (3) identification of the material claimed to be infringing and information reasonably sufficient to permit us to locate it; (4) your name, address, telephone number and email address; (5) a statement that you have a good-faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent or the law; and (6) a statement that the information in the notice is accurate and, under penalty of perjury, that you are authorized to act on behalf of the copyright owner.

If material you posted was removed in response to a notice and you believe it was removed by mistake or misidentification, you may send a counter-notice to the same address containing: your physical or electronic signature; identification of the material removed and its prior location; a statement under penalty of perjury that you have a good-faith belief the material was removed by mistake or misidentification; and your name, address and telephone number, together with a statement that you consent to the jurisdiction of the federal district court for your address (or, if outside the United States, any judicial district in which MozeHQ may be found) and will accept service of process from the person who provided the original notice. Under 17 U.S.C. § 512(f), any person who knowingly materially misrepresents that material is infringing, or was removed by mistake, may be liable for damages.

It is our policy, in appropriate circumstances and at our discretion, to disable and/or terminate the accounts of users who repeatedly infringe or are repeatedly charged with infringing the copyrights or other intellectual property rights of others.

11. Trademarks

"MozeHQ", "Moze", the MozeHQ logo, "The Brokerage Operating System", and all related names, logos, product and service names, designs, slogans and trade dress are trademarks or service marks of MozeHQ (whether or not registered). You may not use any of them without our prior written permission, including in any domain name, social-media handle, metatag, keyword, advertisement or hidden text, or in any manner likely to cause confusion or that disparages or discredits MozeHQ. All other names, logos and marks appearing on the Service, including lender and service-provider names, are the property of their respective owners, are used for identification only, and do not imply any endorsement, sponsorship, partnership or affiliation.

12. Feedback

If you provide us with any suggestions, ideas, enhancement requests, recommendations, comments, bug reports or other feedback about the Service ("Feedback"), you hereby assign to MozeHQ all right, title and interest in and to the Feedback, and agree that MozeHQ may use, disclose, reproduce, modify, license, commercialize and otherwise exploit the Feedback for any purpose, without restriction, attribution or compensation to you. You waive any moral rights you may have in Feedback. Feedback is not confidential to you.

13. Your data and content

As between you and MozeHQ, you retain your rights in your Customer Data. You hereby grant MozeHQ and its service providers a worldwide, non-exclusive, royalty-free, fully paid, sublicensable (to our service providers) license to host, store, copy, transmit, process, display, back up, analyze, modify (for formatting and display) and otherwise use Customer Data as needed to provide, maintain, secure, support and improve the Service, to comply with law, and as otherwise described in these Terms.

You are solely responsible for all Customer Data, including its accuracy, quality, legality, integrity and the means by which you acquired it. You represent and warrant that you have, and will maintain, all rights, licenses, notices, consents and authorizations necessary to provide Customer Data to us and to permit our processing of it as described in these Terms, including any consents required under privacy, consumer-finance and telemarketing laws, and that our processing will not violate any law or the rights of any person.

MozeHQ may collect, use and analyze Usage Data and may create aggregated or de-identified information from Customer Data and Usage Data that does not identify you, any individual or your Organization, and may use and disclose such information for any lawful purpose, including improving the Service and developing new products, during and after the term of these Terms.

You are responsible for maintaining your own copies of any Customer Data and records you are required by law, regulation, investor, lender or contract to retain. The Service is not a records-retention system of record unless we expressly agree otherwise in a signed writing. We may delete Customer Data in accordance with our retention practices after your access ends.

14. Borrower information and regulatory responsibility

The Service is a tool. You, and not MozeHQ, are solely responsible for every lending, origination, brokering, underwriting, pricing, disclosure, marketing, communication and business decision you make, and for your compliance with all laws and regulations that apply to you, including the Gramm-Leach-Bliley Act and its Privacy and Safeguards Rules, the Fair Credit Reporting Act, the Equal Credit Opportunity Act, the Fair Housing Act, the Real Estate Settlement Procedures Act, the Truth in Lending Act, the TILA-RESPA Integrated Disclosure rule, the Home Mortgage Disclosure Act, the SAFE Act, the Telephone Consumer Protection Act, the CAN-SPAM Act, the Bank Secrecy Act, unfair, deceptive or abusive acts or practices laws, state licensing laws, and the requirements of investors, lenders, agencies and regulators.

To the extent MozeHQ processes nonpublic personal information on your behalf, it does so as your service provider, solely to provide the Service. You are responsible for obtaining all notices and consents from consumers that are required for you to share their information with service providers like MozeHQ, and for determining that the Service is appropriate for your obligations. You agree not to upload any information that you are prohibited by law or contract from sharing with a service provider.

15. Activity records, monitoring and audit logs

To operate, secure, troubleshoot, support and improve the Service, to enforce these Terms, to detect fraud and abuse, and to provide audit and accountability features, we automatically record activity on the Service. This includes, for example, sign-ins and sign-outs, pages and screens viewed, buttons and links selected, forms submitted, records created, viewed, changed or deleted and the values entered (excluding passwords and authentication secrets), messages and chat content sent through the Service, files uploaded, the date and time of each event, IP address or a derived identifier, device type, browser, operating system, approximate geographic location, referring page and session information.

Owners and administrators of an Organization workspace may be able to view activity records for their workspace, and MozeHQ may review activity records across the Service. BY USING THE SERVICE YOU EXPRESSLY CONSENT TO THIS RECORDING, MONITORING AND REVIEW, AND YOU AGREE THAT YOU HAVE NO EXPECTATION OF PRIVACY IN YOUR ACTIVITY ON THE SERVICE. If you are an Organization, you are responsible for providing any notice to, and obtaining any consent from, your employees and Authorized Users that applicable law requires for such monitoring.

16. Privacy

Information we collect: information you provide (such as name, email address, telephone number, company, role, credentials, and content you enter); information collected automatically (Usage Data, cookies and similar technologies, device and log data); and information from third parties (such as identity, sign-in, calendar or communications providers you choose to connect, market-data providers and our service providers).

How we use it: to provide, operate, maintain and secure the Service; to authenticate users and prevent fraud and abuse; to communicate with you about your account, the Service, updates, security and administrative matters; to send marketing and promotional communications (from which you may opt out); to respond to requests and provide support; to analyze and improve the Service and develop new features; to enforce these Terms and protect our rights; and to comply with legal obligations.

How we share it: with service providers and subprocessors who host, store, transmit, analyze or otherwise process information on our behalf (for example hosting, networking, email, telephony, artificial-intelligence and analytics providers); with Third-Party Services you choose to connect; with the owners and administrators of your Organization's workspace; in connection with a merger, acquisition, financing, reorganization, bankruptcy or sale of all or part of our business or assets; to comply with law, legal process or governmental requests; to protect the rights, property or safety of MozeHQ, our users or others; and with your consent. We do not sell your personal information for money.

Retention and security: we retain information for as long as reasonably necessary for the purposes described in these Terms, to comply with legal obligations, resolve disputes and enforce agreements. We use administrative, technical and physical safeguards designed to protect information, but no method of transmission or storage is completely secure, and we cannot guarantee absolute security. If we become aware of a security incident affecting your information, we will notify you as and when required by applicable law.

Your choices and rights: you may update account information within the Service, opt out of marketing emails by contacting us or using any unsubscribe link, and, depending on where you live, you may have rights to request access to, correction of, deletion of, or a copy of certain personal information, or to opt out of certain processing. To make a request, contact [email protected]. We may need to verify your identity before responding and may decline requests as permitted by law. The Service is not directed to children under 18, and we do not knowingly collect information from them. Our Service does not respond to "Do Not Track" browser signals. The Service is operated in the United States, and information may be processed and stored there.

17. Cookies and similar technologies

We and our service providers use cookies, local storage, session storage, pixels and similar technologies to keep you signed in, remember your preferences (such as theme, layout and tutorial progress), secure the Service, measure and analyze usage, and improve performance. Some of these are strictly necessary for the Service to work. You may be able to control cookies through your browser settings, but disabling them may cause parts of the Service to stop working.

18. Electronic communications and signatures

By using the Service you consent to receive communications from us electronically, including by email, in-app notices and postings on the Service, and agree that all agreements, notices, disclosures and other communications we provide electronically satisfy any legal requirement that such communications be in writing, under the Electronic Signatures in Global and National Commerce Act (E-SIGN) and similar laws. You agree that your electronic acceptance, click or typed entry constitutes your signature. You are responsible for keeping your email address current and for checking it regularly. Notices are considered received when sent to the email address associated with your account or acceptance, or when posted on the Service.

19. Calls, text messages and emails to you

By providing a telephone number or email address to us, you consent to receive calls, text messages and emails from MozeHQ and those acting on our behalf at that number or address regarding your account, the Service, security, support, and, where permitted by law, information about our products and services, including messages sent using automated technology or prerecorded or artificial voices. Consent to marketing messages is not a condition of any purchase. Message and data rates may apply. Message frequency varies. You may opt out of text messages by replying STOP and of marketing emails by using the unsubscribe link or contacting us. You represent that you are the subscriber or customary user of any number you provide and will notify us if it changes.

20. Artificial-intelligence features

The Service includes AI Features that may generate text, summaries, messages, recommendations, forecasts, classifications, document readings, guideline answers and other output ("AI Output"). AI Output is generated automatically, may be inaccurate, incomplete, outdated, biased, inappropriate or misleading, may not reflect current law, guidelines, rates or facts, and may be similar to output provided to others. AI Output is not legal, compliance, tax, financial, credit or underwriting advice and is not a decision by MozeHQ.

You are solely responsible for reviewing, verifying and approving all AI Output before relying on it or sending, filing or using it, and for every decision and communication you make. You must not use AI Features to make any automated decision with legal or similarly significant effects on a consumer, including any credit, eligibility, pricing or adverse-action decision, without appropriate human review and all legally required processes and notices. Information you submit to AI Features may be processed by our third-party AI providers under their terms to generate output. Do not submit information to AI Features that you are not permitted to share with a service provider.

21. Rates, pricing, market data and calculations

Rates, prices, payments, fees, adjustments, eligibility results, market data, yields, forecasts, estimates, calculators, amortization schedules, commission figures, rankings and other numbers displayed by the Service are provided for informational and comparison purposes only, may be delayed, inaccurate, incomplete or based on assumptions or sample data, and are not offers, commitments to lend, rate locks, approvals, Loan Estimates, Closing Disclosures, or guarantees of any kind. Market information may be obtained from third parties and is provided "as is". Always confirm all figures with the relevant lender, investor, official source and qualified professionals before quoting, disclosing or relying on them.

22. Third-party services and links

The Service may contain links to, display content from, or allow you to connect with Third-Party Services, including identity and calendar providers, email and telephony providers, lenders' portals, real-estate and mapping websites, market-data sources and AI providers. Third-Party Services are not under our control, and we do not endorse and are not responsible or liable for their availability, accuracy, content, products, services, privacy or security practices, or for any loss or damage caused by your use of or reliance on them. Your use of Third-Party Services is at your own risk and subject to their terms and policies. We may suspend or discontinue any integration at any time.

23. Beta, trial and free features

We may offer features, integrations or versions identified as beta, preview, pilot, trial, sample, demo, early access or similar, or offered free of charge ("Beta Features"). Beta Features are provided for evaluation, may be incomplete or contain errors, may be changed or discontinued at any time without notice, and are provided "AS IS" with no warranty, support, service level or indemnity of any kind, notwithstanding anything else in these Terms. Our total liability arising out of Beta Features is zero dollars ($0) to the maximum extent permitted by law.

24. Fees, payment and taxes

Some or all of the Service may now or in the future be offered for a fee. If you purchase a paid plan, you agree to pay all fees stated in your order or plan, in advance and in U.S. dollars, using a valid payment method that you authorize us (and our payment processor) to charge. Unless otherwise stated, subscriptions automatically renew for successive terms equal to the initial term at the then-current price unless cancelled before renewal, and you authorize recurring charges. Fees are non-cancellable and non-refundable, including for partial periods, unused features or downgrades, except as required by law. We may change our fees on notice effective at your next renewal. Late amounts may accrue interest at the lesser of 1.5% per month or the maximum lawful rate, and we may suspend access for non-payment. You are responsible for all sales, use, value-added, withholding and similar taxes, other than taxes on our net income.

25. Confidentiality

"Confidential Information" means all non-public information disclosed by MozeHQ or made available through the Service, including the MozeHQ Materials, product plans, roadmaps, features not yet released, pricing, designs, workflows, source code, prompts, security information and these Terms' commercial terms. You agree to hold Confidential Information in strict confidence, to use it solely to use the Service as permitted by these Terms, not to disclose it to any third party, and to protect it with at least the same degree of care you use for your own most sensitive information and in no event less than reasonable care. These obligations survive any termination of these Terms for so long as the information remains confidential, and indefinitely for trade secrets. You acknowledge that any breach may cause irreparable harm for which monetary damages would be inadequate, and that MozeHQ is entitled to seek injunctive relief without posting a bond, in addition to all other remedies.

26. Availability, support and changes to the Service

We may modify, update, add, remove, suspend or discontinue any part of the Service, including any feature, content, integration or the Demo, at any time, with or without notice, and without liability to you. We do not guarantee that the Service will be available at any particular time or location, uninterrupted, timely, error-free, or compatible with any hardware, software or network. The Service may be unavailable because of maintenance, updates, outages, internet or power failures, third-party failures, security events or circumstances beyond our control. Unless we agree otherwise in a signed writing, we have no obligation to provide support, maintenance, upgrades or any service level.

27. Disclaimer of warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE, THE MOZEHQ MATERIALS, AI OUTPUT, THE DEMO, BETA FEATURES AND ALL CONTENT, DATA AND INFORMATION PROVIDED THROUGH THE SERVICE ARE PROVIDED "AS IS", "AS AVAILABLE" AND "WITH ALL FAULTS", AND MOZEHQ, ON BEHALF OF ITSELF AND ITS LICENSORS AND SERVICE PROVIDERS, EXPRESSLY DISCLAIMS ALL WARRANTIES, REPRESENTATIONS AND CONDITIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY OR ARISING FROM COURSE OF DEALING OR USAGE OF TRADE, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, ACCURACY, COMPLETENESS, RELIABILITY, SECURITY, AVAILABILITY, TIMELINESS, AND THAT THE SERVICE WILL MEET YOUR REQUIREMENTS, ACHIEVE ANY RESULT, BE COMPATIBLE WITH ANY SYSTEM, BE FREE OF ERRORS, VIRUSES OR HARMFUL COMPONENTS, OR THAT DATA WILL NOT BE LOST OR CORRUPTED. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM MOZEHQ OR THROUGH THE SERVICE CREATES ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS. YOU USE THE SERVICE AT YOUR OWN DISCRETION AND RISK, AND YOU ARE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR SYSTEMS OR LOSS OF DATA. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

28. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL MOZEHQ OR ITS OWNERS, MEMBERS, MANAGERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, SERVICE PROVIDERS, PARTNERS, SUCCESSORS OR ASSIGNS (THE "MOZEHQ PARTIES") BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE OR ENHANCED DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, COMMISSIONS, LOANS, BUSINESS, CUSTOMERS, GOODWILL, REPUTATION, ANTICIPATED SAVINGS, DATA OR USE, BUSINESS INTERRUPTION, COST OF SUBSTITUTE GOODS OR SERVICES, REGULATORY FINES OR PENALTIES, OR LOSSES ARISING FROM ANY LOAN, RATE, LOCK, DISCLOSURE, COMMUNICATION OR DECISION, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, WARRANTY, STATUTE OR OTHERWISE, ARISING OUT OF OR RELATED TO THESE TERMS, THE SERVICE, AI OUTPUT, THIRD-PARTY SERVICES, ANY CONTENT OR DATA, OR ANY UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA, EVEN IF THE MOZEHQ PARTIES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL CUMULATIVE LIABILITY OF THE MOZEHQ PARTIES FOR ALL CLAIMS OF ANY KIND ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU ACTUALLY PAID TO MOZEHQ FOR THE SERVICE DURING THE TWELVE (12) MONTHS IMMEDIATELY BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US $100). THESE LIMITATIONS ARE AN ESSENTIAL BASIS OF THE BARGAIN BETWEEN YOU AND MOZEHQ, AND THE SERVICE WOULD NOT BE PROVIDED WITHOUT THEM. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU, IN WHICH CASE OUR LIABILITY WILL BE LIMITED TO THE FULLEST EXTENT PERMITTED.

29. Indemnification

You agree to defend, indemnify and hold harmless the MozeHQ Parties from and against any and all claims, demands, actions, suits, investigations, proceedings, liabilities, damages, judgments, awards, settlements, losses, fines, penalties, costs and expenses (including reasonable attorneys', experts' and investigators' fees and costs) arising out of or relating to: (a) your or your Authorized Users' access to or use of the Service; (b) Customer Data or any content or information you provide, including any claim that it infringes, misappropriates or violates any right of a third party or was collected or processed without required notice or consent; (c) your lending, brokering, marketing, communications and other business activities and your dealings with borrowers, consumers, lenders, employees, regulators and other third parties; (d) your use of AI Output or any decision you make; (e) your violation of these Terms; or (f) your violation of any law, regulation or third-party right. We may assume the exclusive defense and control of any matter subject to indemnification by you, in which case you will cooperate fully with us. You may not settle any such matter without our prior written consent.

30. Release

To the maximum extent permitted by law, you release the MozeHQ Parties from any and all claims, demands and damages, known or unknown, suspected or unsuspected, arising out of or in any way connected with Third-Party Services, the Demo, Beta Features, other users, or your dealings with any third party through the Service. If you are a California resident, you waive California Civil Code § 1542, which says: "A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party." You waive any similar provision of any other jurisdiction.

31. Suspension and termination

We may suspend, restrict or terminate your access to all or any part of the Service, delete or disable your Account, and remove any content, at any time, for any reason or no reason, with or without notice, including if we believe you have violated these Terms or the law, created risk or possible legal exposure for us or others, failed to pay fees, or if we discontinue the Service. You may stop using the Service at any time. Upon any termination, all licenses granted to you end immediately, you must stop using the Service and destroy any MozeHQ Materials and Confidential Information in your possession, and we may delete your data without liability. Termination does not relieve you of any obligation to pay fees accrued before termination. Every provision of these Terms that by its nature should survive termination will survive, including the sections on intellectual property, feedback, data, confidentiality, disclaimers, limitation of liability, indemnification, release, dispute resolution and general terms.

32. Dispute resolution; binding arbitration

PLEASE READ THIS SECTION CAREFULLY. IT REQUIRES YOU TO ARBITRATE DISPUTES WITH MOZEHQ ON AN INDIVIDUAL BASIS AND LIMITS HOW YOU CAN SEEK RELIEF.

Informal resolution. Before starting any arbitration or court proceeding, you agree to first contact us at [email protected] with a written description of your claim, your name and contact information, and the relief you seek, and to try in good faith to resolve the dispute informally for at least sixty (60) days.

Agreement to arbitrate. Except for the excluded claims below, you and MozeHQ agree that any dispute, claim or controversy arising out of or relating in any way to these Terms, the Service, your use of the Service, or the relationship between you and MozeHQ, whether based in contract, tort, statute, fraud, misrepresentation or any other legal theory, and whether arising before or after these Terms (a "Dispute"), will be resolved exclusively by final and binding individual arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules (or, if you are an individual using the Service primarily for personal purposes, its Consumer Arbitration Rules), as modified by these Terms, before a single arbitrator. The Federal Arbitration Act governs the interpretation and enforcement of this section. The arbitrator, and not any court, has exclusive authority to resolve any dispute about the interpretation, applicability, enforceability or formation of this arbitration agreement, except that a court may decide the enforceability of the class action waiver. The arbitration will take place in Wayne County, Michigan, or by video conference, unless the arbitrator decides otherwise. The arbitrator's award will be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Excluded claims. Either party may bring an individual claim in small-claims court if it qualifies, and either party may seek injunctive or other equitable relief in court to protect its intellectual property, Confidential Information, or the security or integrity of the Service, or to stop unauthorized use of the Service.

CLASS ACTION WAIVER. YOU AND MOZEHQ AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, PRIVATE ATTORNEY GENERAL OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may award relief only in favor of the individual party seeking relief and only to the extent necessary to provide relief warranted by that party's individual claim. If this class action waiver is found unenforceable as to any claim, that claim must be severed and brought in court, and the remainder of this section will still apply.

JURY TRIAL WAIVER. TO THE EXTENT ANY DISPUTE PROCEEDS IN COURT RATHER THAN ARBITRATION, YOU AND MOZEHQ EACH WAIVE THE RIGHT TO A JURY TRIAL.

Mass filings. If twenty-five (25) or more similar demands for arbitration are filed against MozeHQ by or with the assistance of the same law firm or coordinated group, the parties agree that the AAA's mass-arbitration procedures will apply and that the demands may be administered in staged batches, and that the statute of limitations is tolled for any claims not yet filed during that process.

Thirty-day right to opt out. You may opt out of this arbitration agreement by emailing [email protected] within thirty (30) days after you first accept these Terms, with the subject line "Arbitration Opt-Out" and your name and the email address you used. Opting out does not affect any other part of these Terms.

Time limit. TO THE EXTENT PERMITTED BY LAW, ANY CLAIM OR CAUSE OF ACTION ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE MUST BE FILED WITHIN ONE (1) YEAR AFTER IT AROSE, OR IT IS PERMANENTLY BARRED.

33. Governing law and venue

These Terms and any Dispute are governed by the laws of the State of Michigan and applicable federal law of the United States, without regard to conflict-of-law principles that would require applying the law of another jurisdiction. The United Nations Convention on Contracts for the International Sale of Goods does not apply. Subject to the arbitration agreement, you consent to the exclusive jurisdiction and venue of the state and federal courts located in Wayne County, Michigan, and waive any objection based on inconvenient forum.

34. Export controls and sanctions

You may not use, export, re-export or transfer the Service, or any technology or data obtained from it, except as authorized by U.S. law and the laws of the jurisdiction in which you obtained it. You represent that you are not located in a country subject to a U.S. government embargo or designated as supporting terrorism, and that you are not listed on any U.S. government list of prohibited or restricted parties.

35. Force majeure

MozeHQ will not be liable for any delay or failure to perform resulting from causes beyond its reasonable control, including acts of God, natural disasters, fire, flood, storms, epidemics, pandemics, war, terrorism, civil unrest, labor disputes, government action, power, utility, internet or telecommunications failures, cyberattacks, failures of hosting or other service providers, or failures of hardware or software.

36. U.S. government users

The Service and Documentation are "commercial items", "commercial computer software" and "commercial computer software documentation" as those terms are used in the Federal Acquisition Regulation and Defense Federal Acquisition Regulation Supplement. Any use by the U.S. government is subject only to the rights granted to all other users under these Terms.

37. Notices

We may give you notice by email to the address associated with your account or acceptance, by posting within the Service, or by any other reasonable means. You must give notice to us in writing by email to [email protected], which is effective upon our confirmed receipt. Legal notices concerning disputes must also comply with the informal-resolution requirement above.

38. General

Entire agreement. These Terms, together with any policies and order forms referenced in them, are the entire agreement between you and MozeHQ regarding the Service and supersede all prior and contemporaneous understandings, agreements, representations and warranties, written or oral. Any terms in a purchase order or other document you provide are rejected and void.

Assignment. You may not assign, delegate or transfer these Terms or any rights or obligations under them, by operation of law or otherwise, without our prior written consent, and any attempt to do so is void. We may freely assign or transfer these Terms without restriction or notice. These Terms bind and benefit the parties and their permitted successors and assigns.

Severability; waiver; interpretation. If any provision is held invalid, illegal or unenforceable, it will be enforced to the maximum extent permissible and limited or eliminated to the minimum extent necessary, and the remaining provisions remain in full force and effect. Our failure to enforce any right or provision is not a waiver. Headings are for convenience only. The words "include" and "including" are not limiting. These Terms will not be construed against the drafter. If these Terms are translated, the English version controls.

Relationship; no third-party beneficiaries. The parties are independent contractors. Nothing in these Terms creates any partnership, joint venture, agency, franchise, fiduciary or employment relationship. Except for the MozeHQ Parties as stated, there are no third-party beneficiaries of these Terms.

Equitable relief; cumulative remedies. You agree that a breach of the sections on restrictions, intellectual property or confidentiality would cause MozeHQ irreparable harm for which monetary damages would be inadequate, and that MozeHQ may obtain injunctive or other equitable relief without posting a bond or proving actual damages, in addition to any other remedy. Our remedies are cumulative. If we prevail in any action to enforce these Terms, we are entitled to recover our reasonable attorneys' fees and costs.
